Job Purpose: Lead the review and the processing of legal, contractual and governance matters to mitigate risks and protect Nawah's interest in accordance with applicable legal practices and to Nawah's standards and procedures.
Legal Advisory Services
Responsibilities and Accountabilities:
Provide strategic legal advice, opinions and recommendations to internal stakeholders on regulatory matters in order to protect Nawah's interests and optimize business outcomes.
Train, develop and manage associates to support provision of legal advisory services.
Report to and liaise with Deputy General Counsel on all material and significant risks and legal issues affecting the Company in matters related to the job purpose, and make recommendations on mitigating actions.
Manage legal matters to provide accurate and timely services efficiently and effectively.
Manage external counsels to support resolution of specific legal matters.
Manage litigation in coordination with internal and external stakeholders in order to protect Nawah's interests and optimize business outcomes.
Governance and Strategic Planning
Responsibilities and Accountabilities:
Provide guidance and advice to internal stakeholders on corporate governance framework to ensure compliance with laws and regulations and internal processes.
Provide feedback regarding Nawah legal compliance and any internal/external identified risk, recommend mitigating actions, advise on relevant regulations and respond to existing legal requirements to ensure that Nawah corporate governance remains aligned to global best practices.
Provide input into the development of the strategic plan for the Legal Department to ensure alignment with Nawah's vision, mission and strategic goals under Nawah's business model.
Contract Negotiation, Investigation, Dispute and Litigation
Responsibilities and Accountabilities:
Review, draft, negotiate and manage contractual documents and queries to deliver the best outcomes for Nawah.
Lead disputes with third parties to ensure timely resolution and prevent escalation of disputes.
Interface and liaise with external counsels on litigation cases to adopt the strategy most favorable to Nawah.
Contribute to or manage internal investigations to ensure integrity and success of the investigation.
Operational Planning
Responsibilities and Accountabilities:
Provide input into the development of the Department's systems and processes, as well as develop and implement the Section's procedures, identifying opportunities for the continuous improvement of practices to increase productivity and operational efficiency.
Monitor, control and report Operational and financial Key Performance Indicators (KPIs) related to the Section, to track performance and recommend corrective or mitigating actions.
Ensure that all relative reports are prepared timely and accurately, to meet the Section's requirements and standards.
Education and Experience
Minimum Requirements:
Required law degree (Juris Doctorate or equivalent) from a major law school and admitted as an attorney in the US, UK, Canada, UAE or similar jurisdiction.
12 years of legal experience in a leading international law firm and/or in-house legal team at a major international corporation.
Experience in major nuclear licensing proceedings.
Broad-based nuclear industry experience.
Undergraduate degree in Engineering or other technical discipline.
Experience managing a person or a team.
Experience in procurement and contracts transactions.
