GENERAL SUMMARY
As Senior Lawyer, the successful applicant will be a key member of the Celeros Flow Technology Legal team and is responsible for positively impacting the overall success of the business. In addition to the provision of general advice and guidance on all legal matters, the Senior Lawyer will work closely with operational and commercial leadership teams to ensure that operations are carried out in compliance with relevant laws and regulations. The incumbent will advise on compliance matters, claims and litigation management, supporting on the drafting, review and negotiation of contractual documentation, with the successful applicant expected to lead in business-critical contracts and play an active role in complex transactional work.
The Senior Lawyer will also contribute to developing and maintaining a sustained and long-term continuous improvement culture that consistently produces improved results with high performance standards.
PRINCIPAL DUTIES AND RESPONSIBILITIES
The successful applicant is expected to:

  1. Work closely with Legal and Company leadership teams to provide comprehensive legal support across a broad range of commercial matters relating to the Celeros FT business, in particular its Middle East business and operations (including Dubai, Abu Dhabi and KSA).
  2. Draft, review and negotiate a wide range of commercial contracts, e.g. customer and supplier contracts, MSAs, IT agreements.
  3. Advise on compliance related matters (e.g. agent and distributor compliance), real estate, corporate governance and intellectual property related matters.
  4. Support the organisation in the assessment and strategy for claims and litigation, working with the appropriate business personnel.
  5. Participate in joint ventures or M&A transactional work and associated transaction documents as and when required.
  6. Support the development and evolution of Company policies, procedures and programmes to underpin the business long-term continuous improvement culture.
  7. Assist in the development and execution of legal/compliance training for the business.
  8. Partner with and manage external counsel where required to ensure the achievement of strategic business outcomes.
  9. Reduce risk/exposure within the Company’s commercial agreements while maintaining good external and internal customer relationships.
KNOWLEDGE, SKILLS & ABILITIES
  1. Proven track record of meeting commitments with the highest standards of ethics and integrity and in accordance with Celeros FT Values.
  2. The ability to take full ownership of and responsibility for projects, adding value to internal risk reviews and external customer negotiation strategies.
  3. Strong skills in analysing, drafting and negotiating contracts, including customer and supplier terms and conditions.
  4. Excellent communication, presentation and interpersonal skills; detail oriented.
  5. Working knowledge of laws and regulations impacting the Company, in particular in the Middle East, with an international mindset.
  6. Pro-active, positive and independent approach to work and results oriented outlook.
  7. Commercially-focused, enthusiastic team player with the ability to thrive under pressure and manage changing tasks in a fast-paced environment, adapting to evolving business needs as required.
  8. Proficient in Word, Excel and Power-Point.
  9. Fluency in English is essential. Arabic language is desirable but not essential.
EDUCATION AND EXPERIENCE
  1. Law degree required with a valid practising certificate/equivalent.
  2. Minimum 6 years post-qualification experience within an in-house, corporate legal environment or law firm.
  3. Expertise in UAE laws and regional legal frameworks.
  4. Experience working on compliance matters, corporate governance, commercial contracts, intellectual property, claims and litigation, together with all matters requisite for the provision of general legal counsel.
  5. M&A transactional experience preferred.
  6. Experience with data protection and privacy related matters preferred.
  7. Experience with cost-effective management of outside legal resources.
