Job description
JOB PURPOSE:

Lead the formulation of rigorous financial structures through evaluating investment proposals, appraising financing opportunities, and implementing innovative financing in line with ADNOC Financing Strategy and Policy. Continuously support and monitor the funding requirements to provide consultation and recommendations to the group companies and management when needed. Lead the formulation of optimal capital structures and support the raising of required debt through multiple instruments to meet short and long-term funding requirements and maximize return on investment of ADNOC group. Manage the maintenance of ADNOC credit rating and ensure internal and external working relationships are in place along with ancillary business of our major financing partners.

KEY ACCOUNTABILITIES

Job Specific Accountabilities

  1. Support in negotiations for the establishment of new companies, formulating rigorous financial structures and financing arrangements.
  2. Evaluate ADNOC and Group investment proposals, undertake feasibility studies, and review financing requirements.
  3. Appraise financing opportunities and options available to ADNOC in international financial markets and identify any concessionary financing programs from which ADNOC and/or Group could benefit.
  4. Develop and present alternative options for refinancing and debt restructuring opportunities regarding ADNOC and Group Company liabilities.
  5. Provide advisory services to Group Company CFOs on capital structuring and financing decisions.
  6. Assist in the establishment and maintenance of a credit rating for ADNOC.
  7. Develop, gather, and communicate all content regarding the annual rating review for ADNOC.
  8. Guide the ADNOC Group Companies and SPVs in relation to rating discussions and exercises.
  9. Support in maintaining the relationship with rating agencies.
  10. Lead the analysis and recommendation of innovative financing solutions to meet project funding requirements.
  11. Support the implementation of investment strategies, including joint ventures, spin-offs, and mergers and acquisitions that meet the financial targets set by the ADNOC Group.
  12. Maintain a view of capital structure and financing costs across the whole ADNOC Group for active asset and liability management.
  13. Coordinate the analyses of ADNOC corporate and Group Companies' balance sheets and evaluate the impact of management plans on financial structures, recommending appropriate financing plans or programs to management.
  14. Develop and maintain economic models for financial evaluation of projects and investments, interpreting feasibility studies for recommendation to management.
  15. Evaluate the CAPEX pipeline of the entity to identify potential ECA financing opportunities as part of the implementation of the agreed capital structure.
  16. Continuously monitor the long-term funding requirements of the Group and prepare a schedule of payment commitments for the next five years.
  17. Develop and maintain continuous working relationships with key internal and external parties relevant to the Treasury.
  18. Contribute to the development, implementation, and administration of the financing strategy for ADNOC and Group Companies.
  19. Assist in the appointment of Financial Advisors as required, including preparation of Terms of Reference, Request for Proposal documentation, Bid Evaluation criteria, and Engagement letters.
  20. Appraise financing opportunities and options available to ADNOC and its Group Companies internally, recommending financing programs.
  21. Develop and maintain continuous working relationships with key external parties relevant to the Treasury.
  22. Assist the VP, Capital Structure Advisory & Financing in liaising with relevant government entities regarding long-term financing initiatives.
  23. Develop and support the assessment and designation of Know-Your-Customer documentation forms in relation to financial institution dealings.
  24. Implement structuring of loans to ADNOC Group Companies to meet project funding requirements.
  25. Act as an observer on audit and finance committees, liaising with management, joint venture partners, and auditors of the Group Companies.
  26. Ensure continuous alignment of group financing requirements through periodic meetings with F&I Management.
  27. Oversee the raising of required debt at the central level for the whole ADNOC Group.

  1. Plan and supervise the activities of the personnel and resources of the Section to achieve the Department objectives efficiently.
  2. Develop knowledge, competencies, and innovative spirit in the Section and support Personal Development Plans (PDP's), Succession Planning, and Talent pipeline within the Section.

  1. Compile and provide input for preparation of the Department budgets and monitor expenditure against approved budget levels.
  2. Investigate, highlight, and reconcile any significant variances.

  1. Lead the implementation of approved Section policies, processes, systems, standards, procedures, and internal controls.

Performance Management

  1. Implement the Company Performance Management System for individuals within the Section.

Organisation Structure and Development

  1. Review, develop, and recommend the appropriate organisation structure for the Section.

Innovation and Continuous Improvement

  1. Encourage innovation and support initiatives for implementation of Change Management.

Health, Safety, Environment (HSE) and Sustainability

  1. Support the institution of an HSE culture and ensure compliance with relevant policies.

Management Information Systems (MIS) and Reports

  1. Prepare all Section MIS and progress reports to provide accurate and timely reports to Company Management.

COMMUNICATIONS & WORKING RELATIONSHIPS:

Internal

  1. Colleagues in Finance Directorate regarding financing matters.
  2. Other Directorates and Group Companies regarding financing-related issues.

External

  1. Relationship Bank Managers regarding financing issues.
  2. External Consultants regarding specific projects.
  3. DCM Investors.

6. QUALIFICATIONS, EXPERIENCE, KNOWLEDGE & SKILLS: Minimum Qualification

  1. Bachelor's degree in Accounting, Business Administration, Finance, or equivalent.

Minimum Experience & Knowledge & Skills

  1. 12 years of professional experience in Financing or Accounting related positions.
  2. Very good knowledge of English; knowledge of Arabic is an advantage.
  3. Experience in relevant computer systems.

Professional Certifications

  1. Professional accounting qualifications; CTP, CIMA, CFA, or equivalent.

Work Environment
