Position Overview

We are seeking an experienced Legal Director – M&A to play a leading role in managing all legal aspects of Presight’s mergers, acquisitions, and strategic investments.

Reporting to the Head of Legal, this role will play a pivotal part in shaping and executing Presight’s aggressive global expansion and inorganic growth strategy.

Responsibilities

1. M&A Oversight: leading role in managing all legal aspects of M&A transactions, including due diligence, deal structuring, contract negotiation, and post-deal integration.
2. Fund Structuring: advise on the structuring and establishment of venture capital (VC) and private equity (PE) funds, liaising with regulatory agencies such as ADGM.
3. Strategic Collaboration: work closely with the growth, finance, and leadership teams to align legal strategies with business objectives.
4. Cross-Border Expertise: provide legal guidance on multi-jurisdictional transactions, ensuring compliance with local and international regulatory requirements.
5. Regulatory & Compliance Management: ensure all transactions comply with ADGM, UAE, and international legal standards, mitigating regulatory risks.
6. Stakeholder Management: develop and maintain strong relationships with external counsel, investment banks, regulatory authorities, and key stakeholders.
7. Post-Transaction Integration: Oversee the legal aspects of integrating acquired entities, focusing on contract novation, intellectual property protection, and governance alignment.
8. Internal Legal Frameworks: Enhance and refine internal legal processes to support future M&A activities.
9. Comply with QHSE (Quality Health Safety and Environment), Business Continuity, Information Security, Privacy, Risk, Compliance Management, and Governance of Organizations policies, procedures, plans, and related risk assessments.

Qualifications

Education: Law degree from a reputable tertiary institution; UK or US legal qualification and admission preferred.

Experience:

1. 5-8 years PQE in M&A transactions at a leading UK or US law firm.
2. Strong experience managing cross-border M&A transactions and handling complex regulatory environments.
3. Experience advising on venture capital, private equity, and corporate investments, preferably within the UAE or Gulf region.
4. Regional exposure and experience with Middle East legal frameworks is a plus.

Technical Skills:

1. Deep knowledge of M&A structures, due diligence processes, contract negotiation, drafting of M&A transaction agreements (including investment agreements, shareholder’ share purchase and subscription agreements) and regulatory compliance.
2. Ability to manage M&A and private equity transactions.
3. Ability to assess and mitigate risks in high-value, complex transactions.
4. Strong understanding of corporate governance, financial instruments, and investment regulations.
