Your new company: The client is a technology and telecommunications company based in the United Arab Emirates.

Your new role

As Legal Counsel (Corporate M&A Specialist) in the Middle East, your role revolves around managing the legal aspects of corporate mergers and acquisitions within the technology space. You’re responsible for due diligence, drafting transactional documents, and mitigating legal risks. Additionally, you contribute to broader corporate initiatives, providing training, and ensuring compliance with legal requirements. Your role entails collaborating with internal and external stakeholders to drive strategic objectives while upholding integrity and confidentiality.

Responsibilities

  • Perform due diligence, draft, review, and negotiate various transactional documents including offer letters, term sheets, definitive transaction documentation, and completion documentation for corporate M&A transactions within the technology space.
  • Assist in the preparation of M&A related board and executive committee meeting materials.
  • Review and advise on auction processes and new projects to mitigate risks and protect the company's interests.
  • Consult with M&A, Strategy, and Finance departments on proposed transaction structures.
  • Assist with special corporate projects such as joint ventures, management share participations, and IPOs.
  • Collaborate closely with internal M&A, Finance, Growth, and Strategy teams, as well as manage external advisors and experts.
  • Identify, update stakeholders on, and mitigate legal risks and issues related to projects and deals.
  • Ensure alignment of M&A activities with the company's strategy, vision, and mission.
  • Contribute to general corporate matters and co-lead talent development initiatives within the legal team.
  • Provide training and awareness on legal aspects of M&A and corporate operations to relevant departments.
  • Cultivate effective communication and relationships both internally with management, departments, and shareholders, and externally with government representatives, legal consultants, law firms, and vendors/suppliers.
  • Address challenges presented by rapid operational and staff growth.
  • Exercise financial authority as per established levels.
  • Refer significant decisions impacting the department to the General Counsel for approval.

What you'll need to succeed

  • Bachelor’s degree in Law (mandatory), Master’s degree (advantageous).
  • Admission to practice in a recognised jurisdiction (preferably Common Law).
  • 5+ years of M&A experience in a reputable law firm or international company legal department.
  • Background or interest in technology, energy, telecommunications, or data centers.
  • Strong understanding of complex transaction documents.
  • Business-oriented with problem-solving skills.
  • Proficient in English; Arabic proficiency advantageous.
  • Analytical and organisational skills with attention to detail.
  • Strong written and oral communication.
  • Project management and risk assessment capabilities.
  • Hands-on mentality with a proactive approach.
  • Continuous networking and relationship-building.
  • Ethical conduct with integrity and discretion when handling confidential information.
