Provide legal support to KVI's waste management and green energy businesses worldwide with a particular focus on the Middle East and emerging markets. Provide frontend legal support on complex and often groundbreaking international transactions, project execution, corporate and governance matters, and dispute management.
Key Responsibilities:
Collaborate closely with the regional leadership in identifying, evaluating, and mitigating legal risks, reviewing and approving transactions, and implementing risk mitigation strategies.
Structure, negotiate, and draft international and domestic agreements with clients, partners, sponsors, financing institutions, contractors, suppliers, and service providers in support of KVI's projects and products, with a particular focus on KVI's businesses in the Middle East.
Assist with the engagement of external counsel and dispute resolution management across various jurisdictions.
Identify and provide solution-oriented counsel on a variety of day-to-day legal matters, including internal processes and compliance.
Drive best commercial legal and ethical practices across KVI's businesses.
Champion compliance at KVI.
Deliver training on legal and contractual matters for KVI personnel.
Assist in the development and maintenance of contract templates and precedents.
Maintain comprehensive knowledge of relevant legal and industry developments.
Qualifications:
Qualified common law lawyer (preferably admitted in England and Wales) with strong academics.
6 years PQE* acquired at an international law firm and/or in-house legal department of an international project company.
Demonstrable experience required in:
Drafting, negotiating, and structuring complex construction contracts and project document suites.
Project finance transactions.
High-level interaction with public and private clients, development partners, financing institutions, contractors, suppliers, and service providers.
General corporate and governance matters (company incorporations, filings, and company secretarial work).
Management of public and private tenders/bid submissions.
Management of construction claims as both contractor and owner.
Management of the legal aspects of M&A transactions and disputes in various jurisdictions.
Willingness to assist with day-to-day legal matters relating to KVI's Middle Eastern entities (and across the wider group when required).
Fluency in English (Arabic, German, and French proficiency will be considered a plus).
Renewable energy experience considered a plus.
