Job description

The Legal Counsel will provide advice and assistance on a broad range of legal matters including supporting the Corporate functions, drafting (in Arabic and English) and negotiating various corporate and commercial agreements; constitutional documents; regulatory correspondence / filings; and attending to corporate law matters as and when required. The Legal Counsel will liaise with external and internal stakeholders at all levels, as well as related regulatory bodies and have a central role in advising on all corporate and contractual legal matters related to EIA itself.


Responsibilities

  • Advise and draft commercial contracts between EIA and suppliers
  • Provide advice (utilising external legal advice where required) on UAE legal matters covering all related legal areas such as labour, contracts, insurance, corporate governance
  • Co-ordinate relevant UAE regulatory filings and registrations including Powers of Attorney
  • Assist in coordinating and overseeing litigation involving EIA and any internal investigations, as and when required
  • Assist in mitigating legal risks and potential liability of EIA and its directors, officers and employees, by proactively managing and supporting compliance with laws, regulations, contractual arrangements and all EIA policies and procedures
  • Coordinate the involvement of external legal counsel for selected transactions
  • Build and maintain relationships with external legal counsel and the panel of preferred advisors.
  • Work with the General Counsel to co-ordinate the legal services provided to the organization: recommending and managing outside counsel, establishing procedures for evaluating the quality and cost services of outside counsel.

Requirements

Education

  • Graduate Degree in Law, with a strong academic background.
  • Admitted as a Solicitor or member of an internationally recognized Bar

Background And Experience

  • 5 - 8 years of post-qualification experience in a law firm or in-house legal function
  • Strong experience in corporate law and drafting in Arabic language
  • Strong experience in general corporate matters, and mergers & acquisitions and/or alternative investments
  • High level of understanding of corporate law.
  • Bi-lingual to legal drafting proficiency level in English and Arabic
  • Fluent in Arabic and English (drafting, reading and speaking). Written Arabic proficiency must be to expert legal drafting level
