Job description

To act as the company's internal advisor, providing daily legal guidance, defending and prosecuting lawsuits, optimizing legal efficiency, reviewing and drafting contracts, preserving business records, and ensuring compliance in mergers and acquisitions.

Responsibilities

General Counsel Responsibilities:

  • Advising executive, senior management and board on various legal matters concerning the company.
  • Examining and creating draft agreements, such as employment and vendor agreements.
  • Maintaining knowledge management system of organization's legal documents.
  • Conducting legal research and reviewing company's litigation strategy pertaining to legal actions.
  • Preserving all corporate records.
  • Liaising with outside counsel regarding their assignments.
  • Evaluate and weigh multiple inputs and impacts of any decision or course of action.
  • Identify proactive solutions that will eliminate or mitigate risks.
  • Draft agreements that minimize risks and maximize legal rights.
  • Anticipate issues and estimate risks strategically.
  • Deal with external parties (regulators, external counsel, clients).
  • Provide expert and strategic legal advice to management.
  • Review all investment contractual terms and ensure its compliance with Organization's standard terms and conditions.

Additional Expectations:

  • Contribute to the development and continuous improvement of the Organization.
  • Participate in strategy reviews, strategy development, and the operationalization thereof.
  • Carry out such other reasonable duties as may be required by the Chief Executive Officer.
  • Changes to responsibilities: The Chief Executive may amend responsibilities from time to time in line with an evolving organizational strategy, structure and roles compliance.

Qualifications

  • Bachelor's or master's degree in law from top-tier law school.
  • Aviation background will be preferred.
  • Master's in Business Administration will be considered an asset.

Experience

  • 10+ years of work experience in corporate consulting.
  • Exceptional executive presence, business acumen and presentation skills.
  • Track record of leading strategic collaboration and in-licensing agreements including running due diligence processes and leading complex negotiations exemplified by a very strong deal sheet.
  • Ability to identify and prioritize risks across functional areas, weigh those appropriately with benefits of investment, and effectively frame business decisions for senior management.
  • Strong leadership skills necessary to effectively lead diligence teams and navigate Company's corporate structure.
  • Proven legal counselling experience in business environment.
  • Overall broad legal knowledge (corporate law, litigations, labor law, etc.).
  • In-depth understanding of how legal issues affect organisations.
  • Ability to develop legal strategy and objectives.
  • High degree of professional ethics, integrity and gravitas.
  • Excellent judgement and analytical skills.
  • Excellent interpersonal and communication skills.
  • Ability to anticipate legal issues or risks and to see around the corner.
  • Knowledge of rules and regulations pertaining to businesses.
  • Proficient understanding of business sensitivities and confidentiality.
