About the role

We are looking for a Legal Counsel who will be responsible for all commercial and technology contracts. The ideal candidate will need to provide legal advice on contracting strategy and documentation and with respect of all business functions, as well as advising in relation to the legal and regulatory frameworks applicable to the business of the UAE and where necessary in global context. The role also includes promoting awareness of changes in law and regulation that will impact the business, coordinating all legal work needed to operate the organization including management of trade mark and patent portfolios, as well as assisting in and helping coordinate managing potential corporate transactions, investments, mergers and acquisitions and joint ventures.

Responsibilities

Key Accountabilities

  • Provide expert legal advice and guidance to senior executives and all departments on complex legal matters (for example, procurement, collaborations, technology, data, employment, disputes), ensuring compliance with applicable laws, regulations, and industry standards.
  • Collaborate with internal stakeholders to develop and implement legal strategies, policies, and procedures that align with the organization’s goals and protect its interests.
  • Conduct legal research and analysis, stay up to date with changes in laws and regulations, and proactively advise the organization on potential legal risks and implications.
  • Stay updated on emerging legal trends, regulations, and best practices in the industry, and provide recommendations for proactive measures to mitigate legal risks.
  • Lead negotiations for and draft commercial and technology contracts and M&A deals with third parties, manage contracts, and analyze legal claims.
  • Draft governance documents and understand key financial aspects for legal guidance.
  • Provide legal counsel on and manage corporateinvestments, mergers and acquisitions, corporate, technology, commercial and collaboration transactions and commercial contracts (for example, procurement contracts, MOUs, NDAs, technology licenses, partnerships and collaborations, technology infrastructure agreements, Saas models, software and hardware agreements).
  • Manage transactions & project management for meeting the company objectives.
  • Manage AIQ trademark and patent portfolio.
  • Provide assistance to AIQ General Counsel on all legal matters

Key Interfaces

  • Function Heads, and Managers, regularly to provide legal advice on on-going activities.
  • Commercial Team, for inputs on commercial NDAs, contracting and legal agreements.
  • Human Capital Team, occasionally for inputs of human capital disputes & grievance matters.
  • Finance Team, occasionally to provide inputs on resourcing and budget requirements.
  • Legal and Audit Companies, occasionally to engage in required legal and compliance activities
  • Governance and Compliance Departments
  • External law firms, to manage external advice
  • External stakeholders and regulators, where applicable

Qualifications

Qualification and Years of Experience

  • Minimum 7-8 years PQE
  • Strong academic record, with a LLB or an appropriate conversion course
  • Previous experience with commercial contracts and M&A transactions and JV negotiations
  • Historic experience in a top tier law firm or complex in-house organization
  • Experience in the Technology Industry (preferred)

Essential Knowledge and Skills

  • Experience in Technology and Data Law (preferred)
  • Proficient leadership and communication skills
  • Ability to proactively prioritize workloads, working both independently and as part of a team
  • Advanced knowledge of country legal processes and regulatory bodies
  • Advanced knowledge of commercial and technology contracts, technology, data and law, intellectual property laws, including those relating to patents and trademarks
