Job description

Job Responsibilities:

  1. Provide legal advice, support, and counsel on matters related to corporate affairs, employment regulations, contracts, litigation, and claims.
  2. Advise on legal rights, obligations, and potential risks associated with business operations.
  3. Advise the management on mergers, acquisitions, and joint ventures, including conducting due diligence and preparing necessary legal documents.
  4. Provide legal advice and support on day-to-day operations, including manufacturing contracts, supplier agreements, and business partnerships.
  5. Conduct legal research and analysis to support decision-making and case preparation.
  6. Stay updated on changes in laws and regulations and provide timely advice and recommendations.
  7. Draft and review legal documents, such as contracts, agreements, and policies, to ensure compliance and protect the interests of clients.
  8. Draft, review, and negotiate contracts, including sales agreements, vendor contracts, joint ventures, and distribution agreements.
  9. Assist in the development and implementation of legal strategies and policies to mitigate risks and ensure compliance with applicable laws.
  10. Advise on labor law matters, including employee contracts, terminations, disputes, and legal compliance with UAE Labor Law.
  11. Draft, review, and negotiate employment contracts, ensuring compliance with the latest labor laws and regulations.
  12. Represent the company in labor-related disputes, including negotiations and arbitrations.
  13. Advise on corporate governance matters, including board meetings, shareholder agreements, and regulatory filings.
  14. Represent the company in legal proceedings, including dispute resolution, litigation, and arbitration.
  15. Advise on all matters related to intellectual property, including patents, trademarks, copyrights, and trade secrets.
  16. Oversee and manage the process for patent, trademark, and copyright registration, both domestically and internationally, including liaising with relevant UAE Government Departments for registration requirements.
  17. Liaise with overseas Government Departments or authorized persons for the registration of patents in other countries.
  18. Collaborate with internal teams and external stakeholders to provide legal support and guidance on various projects and initiatives.
  19. Liaise with relevant government offices and other competent authorities for any legal issues and consequences.
  20. Maintain accurate and organized legal documentation and records.
  21. Handle any other legal matters or duties as assigned by the Managing Director.

Desired Candidate Profile:

  1. Bachelor's degree in Law from an accredited university. A Master’s degree or professional legal qualification (e.g., LLM, Bar qualification) is an advantage.
  2. Licensed to practice law in the UAE.
  3. Relevant certifications in specialized legal areas, such as intellectual property or contract law, are preferred.
  4. Prior experience in a law firm or corporate legal department is highly desirable.
  5. At least 5-10 years of experience as a legal advisor or in-house counsel, preferably within the manufacturing industry.
  6. Extensive knowledge of UAE laws, including labor law, commercial law, contract law, and intellectual property.
  7. Strong understanding of corporate governance, compliance, and regulatory frameworks.
  8. Fluency in written and spoken English and Arabic.
  9. Excellent communication, negotiation, and analytical skills. Ability to work independently and as part of a team.
  10. Strong attention to detail, ability to handle confidential information with discretion, and excellent time management skills.
