Job description

The Legal Counsel will provide legal assistance and guidance to various divisions and affiliated companies within the organization. Additionally, they will collaborate with external legal partners, stakeholders, and clients. The Legal Counsel will be responsible for a wide range of legal activities, including contract review, litigation management, support for mergers and acquisitions, and offering legal counsel on compliance, ethics, data privacy, and other legal matters.

This position offers the opportunity to work on diverse legal challenges within a dynamic and fast-paced environment.

Key Accountabilities:

Contracts

  • Review contracts including but not limited to contracts with suppliers and vendors, distribution agreements, employment contracts, terms and conditions, non-disclosure agreements, manufacturing agreements, contracts with customers.
  • Create templates.

Litigation

  • Advise on and manage the resolution of disputes and litigation cases.
  • Coordinate litigation cases with outside counsels: review documentation, arguments, strategy and propose changes as needed.

Ethics and Compliance

  • Advise on ethics and compliance related matters in order to ensure adherence to high ethical standards and support the development of key compliance initiatives.
  • Support the development and launch of key compliance initiatives, including the development and delivery of training programs to employees and vendors.

Data Privacy

  • Review data privacy language in contracts.
  • Understanding of GDPR and other data privacy laws is required.

Mergers and Acquisitions

  • Draft and review letters of intent, share purchase agreements.

Advice

  • Provide clear and pragmatic legal advice to business stakeholders on all legal issues relating to affiliates business (including but not limited to commercial contracts, corporate, compliance, litigation, HR, IT, and Finance).
  • Advise on and assist with the implementation of projects and acquisitions.
  • Advise on and assist with the management of the corporate legal requirements.
  • Provide trainings as needed.

Qualifications/Requirements:

  • Excellent academic records with a law degree from a top law school.
  • Excellent communication skills in English.
  • Knowledge of Arabic is a plus.
  • Solid understanding of legal issues.
  • Curiosity and demonstrable motivation.
  • Strong understanding of local laws and regulations within the UAE.
  • International legal experience is beneficial, especially if dealing with global legal matters.
