Job description

We are seeking an experienced legal secretary to provide general secretarial support to the Lawyer including:

  1. Assist in incorporations. Proactively manage the incorporation process;
  2. Prepare first drafts of resolutions and constitutional documents;
  3. Prepare statutory filings and declarations;
  4. Liaise with foreign office secretaries to arrange filings, and liaising with registered office services providers ("RO Provider") and the compliance team to ensure client due diligence have been received;
  5. Assist responsible lawyers in general corporate work;
  6. Draft corporate documents, including application for shares, share transfer form, consent to act and resignation letter;
  7. Conduct company and court searches;
  8. Prepare first draft of director and shareholder resolutions;
  9. Arrange certification, notarization and legalization of documents and fee quotes;
  10. Liaise with RO Provider to ensure that the relevant register has been accurately updated;
  11. Assist responsible lawyers in investment funds work;
  12. Prepare first drafts of offering documents;
  13. Assist in fund registrations/de-registrations;
  14. Prepare first draft of the launch resolutions and constitutional documents;
  15. Attend to required filings;
  16. Prepare fee estimates for legalizations;
  17. Alert the lawyer to any pertinent issues arising;
  18. Creating, editing, amending and storing of correspondence and documents in the appropriate electronic matter file, including the preparation of "blacklined" documents.

High level of proficiency in Microsoft Office applications.

  1. Ability to use legal precedents and billing systems;
  2. A preference will be given to those candidates holding a recognized legal secretarial qualification from a recognized university or college and/or minimum of 3 - 5 years’ legal experience or an equivalent combination of education and relevant experience;
  3. Strong analytical skills;
  4. Ability to work independently and as a team member;
  5. Tact and diplomacy to deal with confidential matters;
  6. Manage a complex and demanding workload with tight deadlines and prioritize tasks and projects to meet work standards and personal performance targets;
  7. Communicate clearly and effectively, both verbally and in writing, with people at all levels of understanding. This will include high quality correspondence;
  8. Participate in continuously improving services through critically evaluating systems of work, promoting new ideas and actively developing service improvements;
  9. Work in a flexible manner and respond to changing circumstances and emergency situations;
  10. Ability and willingness to occasionally work overtime when requested.
