Mission
Provide contractual support to analyze, draft and negotiate the terms and conditions in Client contracts and Partner, Vendor or Subcontractor Agreements in line with Saipem guidelines and procedures during conduct of business.
Propose suitable contract risk strategies in the business acquisition phase that are favorable to Saipem during the performance of the contracts and/or agreements. Explore contractual solutions and alternatives to minimize risks and optimize opportunities during the contract negotiation in the commercial phase.
Tasks
- Manage and coordinate contract management activities ensuring that all aspects of the contract are correctly addressed.
- Review and draft all contractual documents and define the most appropriate clauses of the contract with clients, partners and subcontractors/suppliers and participate in the relevant negotiations.
- Identify the most appropriate contractual solutions and contribute to the definition of optimal risk profile for the Company, ensuring that the defined risk profile is adequately reflected in the relevant contractual documents.
- Support the Commercial Function to perform contract risk assessments (implement Golden Rules and Silver Guidelines) in line with Industrial Risk methodology.
- Manage the resources involved in contract management activities, develop relevant professional competences and career paths, and identify project staffing needs.
- Apply Saipem guidelines and standards relevant to contract management.
- Provide all necessary reports regarding contract management to the relevant internal clients (Group, Company and Contract Management function).
- Ensure collection and sharing of lessons learned, feedbacks and returns of experience on issues/criticalities encountered during contract management activities.
- Ensure the flow-down and transfer of contractual risk from the contract with the client to the purchase orders and agreements with vendors and sub-contractors, identifying provisions that shall be transferred to passive contracts in relation to obligations of the main contract or due to the specific scope of work.
- Provide contractual support for the negotiation of loans on the markets, bank sureties, active and passive guarantees, parent company guarantees and indemnity letters.
- Provide support, as necessary, to the Project Contract Manager.
- Review regulatory requirements.
- Review and update and complete all partner agreements according to contract/project development.
- Coordinate the contractual documentation filling and organize Contract Management internal handover meetings.
- Ensure the contribution to the Legal function for the management of preliminary activities of litigations and contribute, as necessary, during the subsequent phases.
