Corporate Secretary / Governance Lawyer - Abu Dhabi (fixed-term)

Role Description

We are seeking an experienced Company Secretary for a full-time interim role with a leading organisation based in Abu Dhabi. This role involves overseeing corporate governance activities for UAE onshore entities, ADGM entities, and supporting other GCC and international jurisdictions where the organisation has interests. You will ensure compliance with relevant laws and regulations, facilitate board and committee processes, and contribute to high governance standards.

Key Responsibilities

  • Attend Board and Committee meetings, recording accurate minutes.
  • Draft board agendas, resolutions, and governance policies.
  • Ensure compliance with UAE onshore laws, ADX listing rules, and ADGM regulations.
  • Support entities across GCC and international jurisdictions as required.
  • Provide expert guidance on corporate governance best practices.

Qualifications and Skills

  • A law degree is essential, with 5-6 years of relevant experience (including at least 1-2 years in the UAE, preferably more).
  • Strong knowledge of UAE laws, ADX listing rules, and ADGM regulations, with familiarity in corporate governance for listed entities (ADX).
  • Experience drafting board agendas, resolutions, and governance policies.
  • Excellent written and spoken English (native or near-native proficiency).
  • Ideally bilingual in English and Arabic, but flexibility will be given for exceptional candidates.
  • Preferably western-educated, though diverse qualifications will be considered.
  • Knowledge of UAE AML laws and regulations is advantageous.
  • Experience working in both UAE and international jurisdictions is preferred.
  • Must be based in Abu Dhabi or willing to commute daily to the ADGM office.

This is an interim role for 3-4 months on-site in Abu Dhabi, with the possibility of transitioning to a permanent position based on suitability.
