Corporate Legal Counsel

We are seeking an experienced Corporate Commercial Lawyer to join our team, specialising in franchise agreements, joint venture (JV) agreements, and corporate agreements. The ideal candidate will bring extensive legal expertise, preferably within the hospitality sector, and will play a key role in supporting our business's legal and strategic objectives.

This position is open to candidates from both in-house roles and law firms who possess a solid understanding of commercial and corporate law within dynamic industries.

Key Responsibilities

• Draft, review, and negotiate franchise agreements, ensuring alignment with business objectives and regulatory requirements.
• Provide legal support for joint ventures, including structuring, drafting agreements, and addressing governance issues.
• Advise on and manage corporate agreements related to mergers, acquisitions, shareholder agreements, and corporate structuring.
• Ensure compliance with local and international laws relevant to the hospitality and F&B industries.
• Liaise with external counsel and stakeholders on complex legal matters.
• Offer strategic legal advice to support business expansion and commercial objectives.
• Proactively identify and mitigate legal risks associated with business operations and agreements.

Key Requirements

• Qualified lawyer with 8+ years of post-qualification experience (PQE) in corporate and commercial law.
• Proven expertise in drafting and negotiating franchise agreements, JV agreements, and corporate agreements.
• Strong knowledge of the hospitality and/or F&B industries, including operational and regulatory frameworks.
• Experience working in-house or with a reputable law firm, handling corporate and commercial transactions.
• Exceptional analytical, negotiation, and communication skills.
• Ability to balance legal risk with business priorities in a fast-paced environment.
• Familiarity with cross-border transactions and international commercial laws is an advantage.

• Team player with the ability to work independently when required.
