Responsibilities:
Provide expert legal advice on a range of corporate matters, including mergers and acquisitions, joint ventures, and corporate restructuring.
Draft and review legal documents, including contracts, agreements, and corporate governance policies, ensuring compliance with relevant laws and regulations.
Conduct due diligence investigations and risk assessments for potential mergers and acquisitions.
Advise clients on corporate governance best practices and regulatory compliance, ensuring adherence to local and international laws.
Represent clients in negotiations, mediations, and arbitration proceedings, advocating for their best interests.
Collaborate with cross-functional teams, including finance, tax, and compliance, to develop comprehensive legal strategies and solutions.
Stay updated on changes in corporate law and regulations, ensuring the firm’s practices remain compliant and effective.
Build and maintain strong relationships with clients, understanding their needs and providing tailored legal solutions.
Mentor and train junior lawyers and legal staff, fostering a collaborative and supportive team environment.
Contribute to the firm’s business development efforts, including networking and attending industry events to enhance the firm’s visibility.
Requirements:
Bachelor's degree in Law (LLB) from a recognized university; a Master’s degree (LLM) or relevant specialization is preferred.
Qualified lawyer with at least 5 years of experience in corporate law, preferably within a reputable law firm or in-house legal department.
Strong knowledge of corporate laws and regulations in the UAE and the wider Middle East region.
Proven track record in handling complex mergers and acquisitions and corporate governance matters.
Excellent negotiation and drafting skills, with a keen eye for detail and the ability to analyze complex legal issues.
Exceptional communication and interpersonal skills, with the ability to build strong relationships with clients and colleagues.
Demonstrated ability to work independently and as part of a team, managing multiple priorities and meeting deadlines.
Fluency in English is required; proficiency in Arabic or other languages is a plus.
Strong ethical standards and the ability to maintain confidentiality and professionalism in all interactions.
