The purpose of this role is to support the Commercial Manager in the review, development, and administration of logistics service agreements and other legal documents that the company has or may enter with customers and other parties.
Detailed Responsibilities:
- To review legal documents such as logistics service agreements, MOUs, LOIs, Addendums, Change Orders, and NDAs.
- Evaluate the legal document, propose revisions if any and/or identify articles/clauses that need to be examined further by DSV’s legal department.
- To coordinate closely with DSV’s in-house and outsourced legal teams and insurance team.
- To identify risks related to the legal document and provide a recommendation on how to mitigate the risks.
- Revise the legal document under the supervision of the Commercial Manager or DSV’s legal counsel.
- Draft contracts change orders, MOUs, LOIs, and Addendums.
- Exchange drafts of legal documents with clients, suppliers, and other third parties.
- Assist the Commercial Manager and/or Strategic Account Managers in contract negotiations with clients, suppliers, and other third parties.
- Negotiate directly with third parties from time to time.
- Coordinate with internal stakeholders to get their feedback and suggested revisions to legal documents.
- Proofread legal documents.
- Format legal documents to make them look professional.
- File legal documents.
- Monitor the expiry of legal documents and initiate the renewal process based on pre-agreed lead-times.
- To provide general legal and administrative support to the team.
Qualifications & Characteristics:
- Graduate in any discipline/ diploma or certificate holder.
- 3 years of experience in review and evaluation of various legal documents.
- Experience in the logistics industry and with logistics service agreements will be a plus.
- Good understanding of legal concepts.
- Ability to discuss legal concepts with internal and external stakeholders.
- Excellent writing and verbal communications skills.
- Highly accurate. Not prone to errors.
- Advanced Microsoft Excel, Word, PowerPoint, Project and Visio.
- Ability to communicate freely in a professional manner with internal and external parties.
- Flexible on timing and working hours to serve the critical role from a regional scope.
- High energy and result-oriented approach.
- Excellent client / management presentation skills.
- Ability to influence and build relationships at all levels.
- Drive and resilience, particularly regarding implementing strategy and managing development & change.
