Compliance Officer / BOD Secretary

Duties and Responsibilities

1. Verification of the Scope of Compliance by the Company and its employees with issued laws, regulations, and resolutions.
2. Prepare the Annual Corporate Governance Report.
3. Respond to all inquiries from Shareholders of the Company.
4. Prepare all the action and procedures for the Company's Annual General Assembly Meeting.
5. Coordinate with the members of the Board of Directors and Committees regarding the meetings.
6. Responsible for minutes of the meeting and note taking during Board of Directors and Committee Meetings.
7. Verification of the Scope of Compliance by the Company and its employees with issued laws, regulations, and resolutions, and coordinate with Abu Dhabi Securities Exchange (ADX) & Securities and Commodities Authority (SCA).
8. Coordinate with Abu Dhabi Securities Exchange (ADX) & Securities and Commodities Authority (SCA).
9. Coordinate with local authorities (Municipality, FNRC, Chamber of Commerce, and Civil Defense).
10. Follow up with Fujairah Foundation for Region Development (FFRD).
11. Follow up with advocates & legal consultants.
12. Any other assignment required by the Company.

Skills

• Strong knowledge of legal, regulatory, and industry standards.
• Proficiency in risk management and internal controls.
• Expertise in corporate governance principles.
• Knowledge of legal and compliance frameworks.
• Strong communication and organizational skills to handle board-level documents and meetings.

Education:

Bachelor's Degree in Law, Business Administration, Finance, Accounting, or a related field.

Experience: UAE Min. 5 years in similar role.

Salary range: AED 8,000 - 9,000.

Age: Up to 45 years.

Gender: Male/Female.

Nationality: Arabic.

Job Location: Fujairah, UAE.
