The Chief Financial Officer will report to the CEO of the Company and will closely interact with the Company’s shareholders to benefit from their extensive experience across diversified portfolios as well as their access to resources and expertise in related fields globally. We are ideally looking at a candidate with 10 plus years’ experience. Exposure in Acquisitions, Investments & Financial Advisory and the IWPP/Power industry is a plus. The candidate must have demonstrable experience in project finance, controlling, new investments and good notions of company and tax laws.   • Reporting Line

The Chief Financial Officer will report to the CEO of the Company and will closely interact with the Company’s shareholders to benefit from their extensive experience across diversified portfolios as well as their access to resources and expertise in related fields globally. The Chief Financial Officer will have 15 direct reports.

  • Area of Responsibility

The Chief Financial Officer is responsible for all the financial processes, activities and transactions of the company in terms of compliance, reporting and auditing. In addition, the Chief Financial Officer leads Administration, Procurement and Human Resources aspects of the Company. .

  • Key Responsibility:
  • Financial Performance Management
  • Monitor short and long-term financial performance of the company through tracking of key performance indicators – operational and financial – and benchmarking with the investment base case, the budget and prior years.
  • Prepare, monitor and update the periodic budget and long term business plan of the project.
  • Monitor, manage and report key financial risks.
  • Make suggestions to the management for financial performance improvement and optimization of shareholder value.
  • Financing
  • Manage the various Facility Agreements with the Global Facility Agent and maintain relationship with the lenders and lenders’ advisors.
  • Follow-up of the covenants and potential events of default under the various Facility Agreements.
  • Responsible for the cash management of the company including working capital facility, cash deposits, cash collection, etc… with shareholder value optimization as primary goal.
  • Establish sound framework of financing policies and procedures.
  • Assess refinancing opportunity and implement if additional value can be created.
  • Reporting
  • Ensure timely, relevant and accurate financial reporting to the management of the company, board of directors, shareholders, lenders and the capital market authority as required.
  • Ensure reporting to shareholders as per the shareholders’ internal processes, systems and tools.
  • Prepare all the financial documents to be presented to the board of directors and shareholders’ meeting and the minutes of such meetings.
  • Governance and compliance
  • Ensure implementation of best practices in terms of corporate governance in compliance with local laws and regulations and with Founders’ best practices.
  • Maintain and improve the tools that have been developed within the entity.
  • Manage the relationship with the authorities (e.g. the Stock Exchange) and keep the company compliant with any rules and regulations.
  • Undertake the role of company secretary, if required.
  • Accounting, Tax and Others
  • Responsible for the accounting activities of the company.
  • Preparation of the financial statements under local GAAP (statutory) and under IFRS.
  • Ensure sound accounting processes and policies are in place.
  • Prepare payments to various stakeholders and get them approved, as per internal processes and delegation of authority.
  • Prepare monthly invoice to the client and follow up of corresponding receipts.
  • Prepare and file tax records.
  • Manage tax for shareholder value preservation.
  • Provide support in managing the financial, legal and administrative aspects of the project agreements (including PWPA, NGSA, OMA).
  • Implement, follow up and renew insurance policies with the help of the shareholders insurance experts and maintain relations with insurers and insurance broker.
  • Internal audit and internal control
  • Ensure the company implements best practices in terms of internal audit and internal control in compliance with local regulations
  • Contribute to general improvement of internal control environment through periodic review of governance, reporting, finance and accounting processes.
  • Administration
  • Management of financial, legal, and administrative matters of the project agreements. Follow-up of the covenants and potential events of default under the various Facility Agreements.
  • Knowledge of Insurance policies and relations with insurers and insurance broker. Participating in the annual Insurance Renewal process.
  • Board of directors and shareholders meeting, preparation of all the financial documents to be presented and the minutes of the meetings.
  • Management of the legal aspects of the various contracts the company has entered into with the support of external counsels.
  • Provide administrative support to the technical activities and public relations.
  • Implement and keep in good working condition the IT network. Manage the external IT contract.
  • Human Resources
  • Relations and negotiation with the personnel. Reference contact for the resolution of disputes with personnel. Updating of the Personnel Policy Manual.
  • Staff management (accounting, IT, and others): Assign duties, give deadlines, career development, and assess the results.
  • Business Development
  • Member of the development team for any new business activity (e.g. expansion, optimization of current capabilities, etc.).
  • Owner of the Bid Model.
  • Liaise with Lenders for any financing required for such activity.
  • Regulatory & Market Structure
  • Follow-up of regulatory matters which impact the companies.
  • Actively involved in the modelling of the market post P(W)PA.
  • Qualifications
  • Languages
  • Fluency in English both written and spoken is a must.
  • Competencies
  • Excellent ability to manage people, tight deadlines and punctual heavy workload.
  • Strong interpersonal skills, excellent communication, presentation and reporting capability. Self-directing, ability to coordinate and direct others. Hands on.
  • Ability to work efficiently in a broad cultural spectrum.
  • Experience
  • Solid bases in project finance, accountancy, controlling, internal control and good notions of company and tax laws.
  • Experience in AIFA modelling is a plus.
  • Experience in Acquisitions, Investments & Financial Advisory is a plus.
  • Experience of the IWPP/Power industry is a plus.
  • Proven experience in team management.
  • 10 years of experience in similar position or environment.
  • Education
  • University degree, MBA and/or CPA/Qualified Chartered Accountant is a plus.
  • Technology
  • Proficient in MS Office.
