Company Secretary and Corporate Legal Responsibilities
Ensuring that the business units in the region have adhered to the constitution, local laws and regulations;
Draft and review legal documents i.e. contracts, agreements, resolutions, POAs, legal notices, NDAs, etc.
Set up new subsidiaries/branches in the region and dissolve (wind-up) the dormant entities/branches;
Review documents of pre-litigation matters and potential disputes and provide initial advice;
Coordinate with external legal counsels and handle lawsuit cases;
Support the legal team of the parent company and the board of directors in any related matters;
Provide legal expertise for all corporate secretarial and regulated regulatory compliance.
Insurance Program
Facilitate communication between business units and insurance providers and maintain a centralized database of all policies and claims for efficient management and reference.
Compliance
Ensure that the due diligence is carried out for all third-parties;
Liaise with the business unit LCOs in preparation and timely update of risk mapping of all business units;
Liaise with the business unit LCOs in whistleblowing investigation (if applicable).
Intellectual Property (IP)
Provide high-quality support and advice on IP matters to external and internal clients.
Desired Candidate Profile
Bachelor’s degree in Law/Legal Studies.
Minimum of 4 years paralegal experience within a corporate/commercial law firm.
Exceptional Arabic/English communication skills, both written and oral.
Effectively manage large volumes of documents & data with strong IT skills.
