Provides, with the guidance of the Legal Counsel of the ADNOC L&S Legal Directorate, legal counsel and advice on operational, commercial, corporate, and transactional matters as required, including joint ventures, investments, mergers, acquisitions, incorporations, dissolutions, and liquidations.
Supports the Legal Counsel in drafting, reviewing, interpreting, and amending legal opinions, agreements, letters, memos, submissions, and any other relevant documents related to the business, projects, or transactions of the ADNOC L&S Legal Directorate.
Assists in the review of claims in connection with the ADNOC L&S Legal Directorate’s business activities, including interpretation and advice on the performance of signed contracts and prevailing legislation.
Assists the Legal Counsel in oversight of the legal functions of the ADNOC L&S Legal Directorate group companies, particularly in the development and implementation of common legal practices and joint strategies.
Provides functional guidance to assigned personnel within the Legal Division on complex issues and supports lesser experienced legal personnel, including identifying training and development needs and organizing courses, seminars, and orientation programs in coordination with the Training & Development Division in Human Capital Directorate.
Attends internal ADNOC L&S committees as required to assist the activities of the ADNOC L&S Legal Directorate and advise on legal risks, including conformity with laws and regulations.
Supports the development of junior Emirati lawyers and coordinates with other Departments and Functions on training and development initiatives.
Manages external legal counsel services related to the corporate and commercial legal affairs of the ADNOC L&S Legal Directorate, including reviewing external legal counsel work products, preparing requests for proposals, and instructing external legal counsel.
Coordinates with the Group Corporate Governance Department on corporate governance matters related to ADNOC L&S Legal Directorate group companies.
Coordinates with the Group Ethics & Compliance Department on compliance matters related to the ADNOC L&S Legal Directorate and its group companies.
Minimum Requirements
Bachelor Degree in Law
Fluent reading and written Arabic.
Minimum 2 years’ Professional Qualification experience in petroleum and/or industrial projects law or contracts drafting, interpretation, negotiation, or international business laws is recommended.
