Reports to: Senior Consultant / Manager, Strategy & Mergers & Acquisitions
Job Overview:
A Divestitures Consultant is responsible for advising companies on the sale, spin-off, or divestment of parts of their business. The consultant will guide clients through the entire divestiture process, including strategic planning, valuation, market analysis, due diligence, negotiation, and post-transaction integration. This role requires deep financial and strategic expertise, a thorough understanding of market dynamics, and strong negotiation skills to ensure the successful execution of divestitures.
Key Responsibilities:
- Strategic Advisory: Work closely with clients to understand their strategic objectives for divestiture, including enhancing focus on core business, optimizing the portfolio, or improving financial performance. Advise clients on the benefits and risks of divestitures and provide guidance on the optimal timing and approach to achieve their strategic goals.
- Valuation and Financial Modeling: Conduct thorough financial analysis and valuations of business units, subsidiaries, or assets to be divested. Provide clients with detailed financial models, projections, and recommendations to support decision-making throughout the divestiture process.
- Market Research and Buyer Identification: Perform market research to understand buyer appetite and prevailing market conditions to identify the best fit for the divested business. Coordinate the due diligence process by preparing financial, legal, and operational documentation for potential buyers. Support the client in identifying and addressing any issues or concerns raised by potential buyers during due diligence.
- Negotiation and Transaction Management: Lead negotiations on sale terms, including price, structure, and contractual conditions, ensuring alignment with the client’s objectives. Oversee the preparation and review of sale agreements, ensuring all terms are legally sound and beneficial for the client.
- Post-transaction Integration or Separation: Provide guidance on post-transaction integration or separation strategies to ensure a smooth transition. Advise on any operational, organizational, or cultural changes necessary to successfully separate the divested entity.
- Legal and Regulatory Compliance: Ensure that the divestiture complies with all relevant legal, regulatory, and industry standards, including antitrust regulations and tax considerations. Advise on compliance issues and help manage any necessary filings or approvals from regulatory authorities.
Skills and Qualifications:
- Educational Requirements: Bachelor’s degree in Business Administration, Finance, Economics, or a related field. MBA or relevant advanced degree preferred.
- Experience: Minimum of 3–5 years of experience in divestitures, mergers and acquisitions, corporate strategy, or financial consulting. Previous experience in advisory roles within a consultancy, investment bank, or corporate strategy team is highly desirable.
- Technical Skills: Expertise in financial analysis, business valuation, and financial modeling. Strong knowledge of M&A processes, including due diligence and transaction management. Proficiency in Microsoft Office Suite (Excel, PowerPoint, Word) and financial modeling software.
- Soft Skills: Strong interpersonal and communication skills to effectively interact with senior management, external stakeholders, and potential buyers. Excellent negotiation skills with the ability to manage complex transactions. High level of attention to detail and organizational skills. Ability to manage multiple projects and prioritize tasks in a fast-paced environment.
